Terms of Service

1. Acceptance of Terms

By creating an account or using Zeric ("Service," "Platform," "we," "us," or "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Zeric is an independent, student-facing study aid platform. It connects to Canvas LMS using a Personal Access Token that you provide, retrieves your own course materials, and uses artificial intelligence to help you understand and study that material. Zeric is strictly a read-only, study-assistance tool. It does not submit assignments, post to discussions, take quizzes, modify grades, or take any automated action in Canvas on your behalf.

Zeric is not affiliated with, endorsed by, or sponsored by Instructure, Inc., Canvas LMS, or any educational institution. Canvas® is a registered trademark of Instructure, Inc.

3. Eligibility

You must be at least 13 years old to use Zeric. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. Canvas API Access & Your Responsibility

To use Zeric, you may provide a Canvas Personal Access Token. By doing so, you represent and warrant that:

  • The token belongs to your own Canvas account
  • You are authorized to access all course data retrieved through your token
  • Your use of the token to connect Zeric does not violate your institution's acceptable-use policy, student code of conduct, or any applicable terms
  • You will revoke your token immediately if you believe it has been compromised

You are solely responsible for determining whether your institution permits the use of third-party tools connected to Canvas via personal access tokens. Zeric cannot guarantee compatibility with every institution's policies. If your institution prohibits the use of such tools, you must not use Zeric in connection with that institution's Canvas environment.

5. Academic Integrity — Your Sole Responsibility

Zeric is designed as a study aid — a tool to help you understand your course materials, review concepts, check your understanding, and prepare for exams. It is your responsibility to use it in a manner that complies with your institution's academic integrity policies, honor code, and the specific requirements of each course and assignment.

Zeric expressly prohibits the following uses:

  • Submitting AI-generated content as your own original work on graded assignments without disclosure
  • Using Zeric to complete take-home exams, quizzes, or any assessment where AI assistance is prohibited
  • Sharing AI-generated responses as your own in academic settings in a manner that constitutes academic dishonesty under your institution's policies
  • Using the Service to circumvent any proctoring, plagiarism detection, or academic integrity system

Important: Zeric takes no responsibility for any academic integrity violation, academic penalty, suspension, expulsion, or other disciplinary consequence arising from your use of the Service. You use Zeric entirely at your own academic risk. When in doubt about whether a particular use is permitted, consult your instructor or your institution's academic integrity office before using the Service for that purpose.

5b. Lecture Recording — Your Responsibilities

Zeric offers an optional lecture recording and transcription feature. By using this feature, you represent, warrant, and agree that:

  • You have obtained all required consents from any individuals who may be recorded, including your instructor and fellow students, as required by your institution's policies and applicable law
  • Your use of this feature complies with your institution's recording and AI-use policies, your course syllabus, and any applicable federal or state law (including, without limitation, wiretapping and two-party consent statutes)
  • You understand that lecture content, including your instructor's words and any student contributions, may be subject to copyright, FERPA protections, or institutional ownership claims
  • You will use transcripts solely as personal study aids and will not share, publish, distribute, or submit them as your own work without appropriate authorization
  • You will not use this feature in any course, setting, or jurisdiction where recording is prohibited

Zeric bears no responsibility for any legal liability, FERPA violation, copyright infringement, institutional disciplinary action, or other consequence arising from your use of the recording feature. You use it entirely at your own risk and assume full legal responsibility for compliance with all applicable laws and institutional policies.

6. Intellectual Property of Course Materials

Course materials accessed through your Canvas token — including lecture slides, assignment prompts, syllabi, and other instructor-created content — may be protected by copyright owned by your instructor or institution. By using Zeric, you acknowledge that:

  • You have lawful access to these materials as an enrolled student
  • Zeric stores and processes them solely to provide the Service to you personally
  • You will not use Zeric to reproduce, distribute, publish, or commercially exploit course materials beyond your personal study use
  • Zeric does not acquire any ownership rights over course content synced through your account

7. Prohibited Uses

You agree not to use Zeric to:

  • Violate any applicable law, regulation, or institutional policy
  • Access another person's Canvas account or course data without their explicit authorization
  • Scrape, crawl, or systematically collect data from Canvas beyond your own authorized courses
  • Reverse engineer, decompile, or extract the source code of Zeric
  • Attempt to gain unauthorized access to Zeric's infrastructure or another user's account
  • Use the Service for any commercial purpose without our prior written consent
  • Transmit malware, spam, or any harmful content through the Service
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

8. Subscription, Billing & Cancellation

Zeric offers a free tier and a paid Student plan billed monthly. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

You may cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months except where required by applicable law.

We reserve the right to change pricing with 30 days' advance notice. Continued use after the notice period constitutes acceptance of the new pricing.

9. AI-Generated Content Disclaimer

Responses generated by the Zeric AI assistant are produced by a large language model and may contain errors, inaccuracies, or outdated information. AI responses are not a substitute for your own judgment, your instructor's guidance, or official course materials. Always verify important information with authoritative sources. Zeric makes no warranty that AI responses are accurate, complete, or suitable for any particular purpose.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE AVAILABLE AT ANY PARTICULAR TIME, OR THAT ANY ERRORS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APRENDI, ITS OPERATORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF GRADES, ACADEMIC STANDING, SCHOLARSHIPS, EMPLOYMENT OPPORTUNITIES, DATA, OR PROFITS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO APRENDI IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) TWENTY-FIVE U.S. DOLLARS ($25.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Zeric and its operators from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any academic integrity matter arising from your use of the Service.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service. Upon termination, your right to use the Service ceases immediately. Sections 5, 9, 10, 11, and 12 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You waive any objection to jurisdiction or venue in those courts. For disputes involving amounts under $10,000, either party may elect binding arbitration through a mutually agreed-upon arbitration service.

15. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zeric regarding the Service and supersede all prior agreements and understandings.
